Terms of Service

Welcome to AiTrado. These Terms of Service ("Terms") govern your access to and use of the AiTrado platform, including our website, mobile applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

AiTrado is a Minneapolis, Minnesota corporation providing technology tools to facilitate direct negotiations and transactions between buyers and sellers of real estate properties.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AiTrado provides a platform that enables buyers and sellers to:

• Negotiate real estate transactions directly without traditional real estate agents
• Generate and manage contracts and legal documents
• Coordinate with vendors including title companies, inspectors, appraisers, and lenders
• Manage transaction timelines and required tasks
• Access AI-powered tools and assistance throughout the transaction process

AiTrado is a technology platform and does not provide legal, financial, or real estate brokerage services. We are not a party to any transaction between users.

3. User Accounts and Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. Fees and Payment

AiTrado charges a flat fee of $199 per buyer and $199 per seller for access to the platform and its features. Payment is required before accessing transaction management tools. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Additional fees may apply for optional services or premium features. We reserve the right to modify our fees with 30 days' notice to existing users.

5. User Responsibilities and Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use automated systems to access the Service without our permission
• Harass, abuse, or harm other users
• Upload or transmit viruses or malicious code

6. Intellectual Property

The Service and its original content, features, and functionality are owned by AiTrado and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AITRADO DOES NOT PROVIDE LEGAL, FINANCIAL, OR REAL ESTATE ADVICE. YOU ARE SOLELY RESPONSIBLE FOR:

• Consulting with appropriate professionals (attorneys, accountants, real estate professionals)
• Verifying the accuracy of all information and documents
• Complying with all applicable laws and regulations
• Understanding the terms of your real estate transaction

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AITRADO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8. Indemnification

You agree to indemnify, defend, and hold harmless AiTrado, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

9. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Minneapolis, Minnesota. You agree to waive your right to a jury trial and to participate in class action lawsuits.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.
